Governance

The Board of Directors is the governing body of IAVI, responsible for overseeing the organization’s management and strategic direction. The Board has 14 members, each elected for staggered three-year terms. Directors bring to IAVI a wide range of expertise, including experience in government, industry, private foundations and non-governmental organizations.

A chief executive officer leads the organization and serves as an ex-officio member of the Board. Committees of the board oversee individual aspects of governance. They include:

  • The Audit & Finance Committee, which ensures the integrity and reliability of IAVI’s financial reporting and the organization’s management of risk, as well as being responsible for the independent verification and oversight of whistleblower reports
  • The Nominating Committee of the Board nominates new Board members and evaluates the service of current directors
  • The Compensation Committee reviews overall compensation for the organization, including that of the CEO
